Terms of service

1. Overview

These Terms of Service (“Terms”) form a legally binding agreement between you (“User,” “you”) and Scanbrix Technologies, Inc. (“Scanbrix,” “we,” “our,” or “us”) governing your access to and use of Scanbrix’s software, applications, and services (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

2. Nature of the Service

Scanbrix provides a scan-to-output platform that converts spatial data (including LiDAR scans, images, and related inputs) into structured digital deliverables such as CAD drawings, BIM models, and other processed outputs.

Scanbrix is not a design firm, engineering firm, or surveying authority, and does not certify or guarantee real-world accuracy.

3. Eligibility

You must:

  • Be at least 18 years old, or

  • Use the Service under supervision of a legal guardian

By using the Service, you confirm you have the authority to enter into this agreement.

4. User Content

You may upload or submit data, including but not limited to:

  • Scans, images, point clouds

  • Floor plans, measurements

  • Project-related files and metadata

(“User Content”)

You:

  • Retain ownership of your User Content

  • Are solely responsible for its legality, accuracy, and rights

5. License to Scanbrix

To operate the Service, you grant Scanbrix a limited, non-exclusive, worldwide license to:

  • Process and transform your User Content

  • Generate outputs and deliverables

  • Improve system performance, including AI/ML models

  • Use anonymized and aggregated data for analytics and product improvement

This license is strictly tied to:

  • Delivering the Service

  • Improving system performance

Scanbrix does NOT sell your identifiable content.

6. Outputs and Deliverables

Scanbrix generates outputs (“Outputs”) based on your submitted data.

You acknowledge:

  • Outputs are algorithmically and/or manually generated interpretations

  • Outputs may contain inaccuracies or omissions

  • Outputs are provided for reference and workflow acceleration only

You are solely responsible for:

  • Verifying accuracy

  • Ensuring suitability for construction, design, or compliance

7. No Professional Liability

Scanbrix does not provide:

  • Architectural certification

  • Engineering validation

  • Survey-grade guarantees

Use of Outputs in real-world applications is at your own risk.

8. Acceptable Use

You agree not to:

  • Upload unlawful, harmful, or infringing content

  • Attempt to reverse engineer or exploit the Service

  • Interfere with system performance or security

  • Use the Service for fraudulent or misleading purposes

We reserve the right to suspend or terminate accounts violating these rules.

9. Processing and Third Parties

Scanbrix may use:

  • Internal systems

  • External contractors or processing partners

to deliver Outputs.

We take reasonable steps to ensure data protection, but are not liable for third-party failures beyond our control.

10. Fees and Payments

You agree to:

  • Pay all applicable fees

  • Maintain valid payment information

    Billing:

  • Charges may be usage-based or subscription-based

  • Payments may be pre-authorized

Refunds:

  • All payments are non-refundable, except:

    • If Scanbrix is unable to deliver the requested Output

11. Intellectual Property

All rights in the Service, including:

  • Software

  • Processing pipelines

  • AI systems

  • Branding

remain the exclusive property of Scanbrix.

You may not:

  • Copy, resell, or replicate the Service

  • Build competing systems using our outputs or workflows

12. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

We do not guarantee:

  • Accuracy

  • Completeness

  • Reliability

  • Uninterrupted operation

13. Limitation of Liability

To the maximum extent permitted by law:

Scanbrix shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of data, revenue, or business

Total liability is limited to:

  • The amount you paid in the last 6 months, or

  • $100 (whichever is greater)

14. Indemnification

You agree to indemnify and hold Scanbrix harmless from any claims arising from:

  • Your use of the Service

  • Your User Content

  • Your violation of these Terms

15. Termination

We may suspend or terminate your access at any time if:

  • You violate these Terms

  • You misuse the Service

You may stop using the Service at any time.

16. Dispute Resolution

Before initiating formal proceedings, you agree to contact:

We will attempt to resolve disputes informally within 30 days.

17. Arbitration

All disputes shall be resolved through binding arbitration:

  • Conducted under AAA rules

  • On an individual basis only

  • No class actions permitted

You waive:

  • Jury trial rights

  • Participation in class proceedings

18. Governing Law

These Terms are governed by the laws of the State of Colorado, USA.

19. Changes to Terms

We may update these Terms from time to time.

Continued use of the Service constitutes acceptance of updated Terms.
